Corporate & commercial law
A business decision can also raise questions about founders’ responsibilities, directors’ authority and dealings with partners. Legal documents should reflect how the business actually operates. Novaković Law Office assists with formation documents, commercial arrangements and disputes arising during business operations.

Understanding your legal matter
Business matters can connect ownership arrangements, obligations to partners and day-to-day company operations. Explain who makes decisions, what commitments already exist and whether there is a dispute. Founding documents, registry information and relevant commercial contracts help establish the scope of the matter under Serbian law.
- Company formation and registry changes
- Drafting and reviewing commercial contracts
- Business debt recovery and commercial disputes
Company formation and choice of legal form
Before registration, consider the activity, founders, investment and decision-making arrangements. A sole trader and a limited liability company have different legal positions. The choice requires more than comparing names or registration steps: authority to represent the business and internal responsibilities also matter.
Formation requires the appropriate founding instrument, information about members and representatives, and documents for the chosen form. APR provides electronic incorporation for DOO, AD, OD and KD, subject to statutory exceptions. Obligations continuing after registration should also be identified.
Commercial contracts and internal documents
A contract should define the work or goods, performance, deadlines, liability and what happens when cooperation ends. For sales, services and ongoing business relationships, the wording should match the actual deal and the documents used in daily operations.
Review also covers signatory authority, evidence of performance and agreed safeguards. Standard terms, offers and amendments should work together. Inconsistent documents can leave the parties with different understandings of the same obligation.
Changes to members, directors and company structure
A change in ownership, representation or registered office may require company decisions and registration. The starting point is the founding instrument and current registry information, followed by the requirements for the specific change.
A share transfer differs from appointing a new director. More complex reorganisations also require attention to contracts, assets and obligations. Preparation should address both internal relationships and effects on business partners.
Recovering business debts
An unpaid invoice requires a review of the transaction, due date and evidence of delivery or services. Payment records, complaints and correspondence help distinguish what is agreed from what the other party disputes.
The documents determine whether negotiation, litigation or enforcement is appropriate. The legal basis and suitability of the records matter; having an invoice does not answer every question about recovery.
Commercial disputes and representation
A business dispute needs a clear link between events and evidence: contracts, orders, delivery records, minutes and emails. Review should address possible objections as well as documents supporting the claim.
We discuss the objective, prospects for settlement and necessary procedural steps. If a claim or decision has already arrived, its receipt date and information about remedies are essential starting points.
Documents for the first meeting
- Founding instrument, current APR information and company decisions.
- Contracts, amendments, orders and evidence of performance.
- Invoices, payments, complaints and relevant correspondence.
If you do not have a document, mention this when arranging the meeting. A brief summary is enough for an initial enquiry; send sensitive documents through an agreed channel.
Questions about this area
Can every company use the same founding document?
A standard form may be a starting point, but arrangements between founders, decision-making and specific commitments should reflect the particular business.
What if a customer disputes only part of an invoice?
Separate the disputed and undisputed parts and review the complaint. Delivery confirmations, correspondence and partial payments can help determine the next step.
Does changing the director change company ownership?
These are different matters. A director represents the company within their authority; membership and shares determine ownership. The paperwork should match the intended change.
Legal framework and sources
Official sources and legislation in Serbian. Their application depends on the facts and rules relevant to the particular matter.
